These Terms govern use of Vindex web apps, APIs, data ingestion services, AI narratives, reporting, billing, and account collaboration features. By using Vindex, you agree to these Terms for yourself and, where applicable, your organization.

- Vindex is workflow software, not legal, financial, or compliance advice.
- Account owners are responsible for role permissions and data shared with invited users.
- External/public datasets can be delayed or inaccurate; users remain responsible for decisions.
- Paid features (plans, seats, add-ons) are governed by billing terms and subscription state.
1. Eligibility and authority
Vindex is for professional users. You must be legally able to enter contracts and authorized to act on behalf of any organization whose account you create, manage, or join.
If you accept an invite as staff, contractor, attorney, consultant, or other collaborator, your access is scoped by the inviting account and may be changed or revoked by that account owner/admin.
2. Account security
You are responsible for credential security, session protection, and prompt reporting of suspected compromise. Vindex may apply rate limits, abuse controls, and access restrictions to protect platform integrity.
You must provide accurate account information and keep billing and contact details current.
3. Data ownership and license
You retain ownership of data you upload or connect. You grant Vindex a limited license to host, process, transform, and display that data to provide the services you enable.
You are responsible for data legality, permissions, and notices required by applicable law.
4. Role-based collaboration
Account owners/admins control role defaults and resource access (properties, cases, work orders, bids, reports, and messaging). You are responsible for configuring least-privilege access.
Invited users only have rights granted by their account context and applicable plan entitlements.
5. AI narratives and automation
- AI narrative outputs are generated from available data and may contain omissions or errors.
- AI outputs are decision-support content and must be reviewed by qualified humans.
- Vindex does not guarantee outcomes from actions taken based on AI-generated recommendations.
You are responsible for validating narrative content before legal filings, lending actions, compliance submissions, or tenant-impacting decisions.
6. External data sources
Vindex may process external/public data feeds and provider integrations. Those sources are controlled by third parties and can contain lags, errors, omissions, or changes in schema/coverage.
You must evaluate source fitness for your use case and comply with provider terms and licensing rules.
7. Plans, billing, seats, and add-ons
- Plan tiers may include Core, Pro, and Enterprise with role and feature entitlements.
- Add-ons may include commercial analytics and institutional analytics, which can be usage-metered.
- Seat-based billing may apply for additional employees or staff users.
- Failure to maintain payment method or subscription standing may restrict access to paid features.
Pricing details may be updated with notice. Future invoices, renewal terms, and tax handling follow your billing configuration and applicable law.
8. Acceptable use and restrictions
- Do not attempt unauthorized access, scraping beyond allowed APIs, reverse engineering, or disruption.
- Do not upload unlawful content, malware, or data you are not authorized to process.
- Do not use Vindex outputs for discriminatory or unlawful housing, lending, or employment decisions.
- Do not share account credentials or bypass role controls.
9. Suspension and termination
Vindex may suspend or terminate access for material breach, abuse, security risk, unlawful use, or persistent non-payment. Where feasible, notice will be provided before action.
Upon termination, data export and retention follow your subscription terms, legal obligations, and configured retention policy.
10. Disclaimers
Services are provided "as is" and "as available" to the maximum extent allowed by law. Vindex does not warrant uninterrupted operation, error-free outputs, or legal/regulatory outcomes.
11. Limitation of liability
To the extent permitted by law, Vindex is not liable for indirect, special, incidental, consequential, or punitive damages, including lost profits, business interruption, or legal strategy outcomes.
Some jurisdictions restrict these limitations; where restricted, limitations apply to the maximum enforceable extent.
12. Governing law and updates
These Terms are governed by applicable law identified in your contract or, if no contract controls, the governing law determined by Vindex business operations. We may update these Terms and will publish an updated effective date.
